Hyderabad, August 26, 2010 –Ajel Infotech Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on
August 28, 2010, inter alia, to consider the following items of business:
1.) To consider the closure of the Register of Members and Share Transfer Books of the Company for the Purpose of the Annual General Meeting of the Company.
2.) To consider issue of Convertible Equity Warrants on Preferential Basis, subject to members approval.
3.) To increase the Authorised Share Capital of the Company, subject to members approval.
4.) To Alter the Memorandum and Articles of Association of the Company, subject to members approval.
5.) To increase the limits for inter-Corporate Loans, investments and Guarantee u/s 372A of the Companies Act, 1956, subject to member's approval.
6.) To Approve the Calendar of Events for the purpose of Postal Ballot.
7.) To Appoint the Scrutinizer to conduct the Postal Ballot Process.
8.) To consider and approve the notice for Annual General Meeting of the Company containing the Resolution to be passed through Postal Ballot.
