Hyderabad, October 01, 2009 – Ajel Infotech Ltd has informed BSE that the members at the 15th Annual General Meeting (AGM) of the Company held on September 30, 2009, inter alia, have approved the following resolutions:
1. Audited Accounts have been approved.
2. Mr. Vijay S. Choksi has been re-appointed as director.
3. Mr. Bharat C. Sutaria has been re-appointed as director.
4. Mr. Venkateswarlu Arikatla has been appointed as director.
5. Mr. Jadda Amara reddy has been appointed as director.
6. Auditors have been Re-appointed till next AGM.
7. The members have approved the acquisition of onsite professional services division of GSS America Inc with revenues of US$10 Million (Rs. 48 crores) on stock swap basis by allotment of 17 Lakhs shares of Ajel Infotech Ltd. as per SEBI approved pricing formula on preferential basis subjected to necessary statutory approvals.
8. Members approved the raising of funds up to Rs. 72 crores equivalent to US$15 Million through ADR/GDR/QIP/FCCB etc.
